1. About these terms
Digital Synergy Ventures UK Limited (trading as FI Digital UK), a company registered in England and Wales (Company Number: [PLACEHOLDER]), provides AI consulting and implementation services. These terms apply to use of fidigital.co.uk and to engagement under separate written contracts.
2. Engagement contracts
All paid services are governed by separately signed Statements of Work. Where these terms conflict with a Statement of Work, the Statement of Work takes precedence.
3. Intellectual property
Custom software, source code, configurations and AI agent designs created under an engagement are owned by the client on full payment, except for our pre-existing tools and frameworks. We retain no rights to your data or training inputs.
4. Confidentiality
All client information is treated as confidential. Mutual NDAs are signed before commercial engagement.
5. Service levels
Service levels, response times, and uptime commitments are agreed per engagement in writing.
6. Limitation of liability
Our liability is limited to the fees paid under the relevant engagement in the 12 months preceding any claim, except where English law prohibits limitation.
7. Data protection
Our handling of personal information is governed by our Privacy Policy at /privacy. We comply with UK GDPR and the Data Protection Act 2018. ICO registration number: [PLACEHOLDER].
8. Professional indemnity
We maintain professional indemnity insurance to a level appropriate for our engagement portfolio. Coverage details available on request to procurement.
9. Governing law
These terms are governed by the laws of England and Wales. Disputes are resolved in English courts unless otherwise agreed in writing.
